Introduction

WWF Securities LLC (dba “Njordhaven Securities”) is registered with the United States Securities and Exchange Commission (“SEC”) as a broker-dealer and is a member of the Financial Industry Regulatory Authority (“FINRA”) and the Securities Investor Protection Corporation (“SIPC”). Brokerage and investment advisory services and fees differ, and it is important for you to understand these differences. Relationships and Services

What investment services and advice can you provide me?

The only securities business activity that Njordhaven Securities may potentially provide to retail investors is the private placement of securities. Acting as placement agent for the companies raising money (“issuers”), Njordhaven Securities offers investors the opportunity to make self-directed investments in securities offerings that are not registered with the SEC, including private placements under Regulation D and private investments in public equity (PIPEs).

Njordhaven Securities does not provide investment advice and typically does not provide investment recommendations. Further, Njordhaven Securities does not: (i) monitor investments, (ii) have discretionary authority over accounts, (iii) offer proprietary products, or (iv) open brokerage trading accounts or set account minimums.

If you choose to invest in companies (“issuers”) offered by Njordhaven Securities, your investment is solely a decision by you. To invest, you generally must be an accredited investor and meet the minimum investment set by each offering, which is stated in its offering documents.

These investments are speculative, illiquid, and involve a high degree of risk, including the possible loss of your entire investment.

Fees, Costs, Conflicts, and Standard of Conduct

What fees will I pay?

Njordhaven Securities does not directly charge fees to retail investors for brokerage services (e.g., transaction fees, account opening fees or the like). Investors are indirectly assessed fees through the structure of the private securities offering the investor purchases, which is disclosed in the respective offering documentation (e.g., Private Placement Memorandum (PPM)).

In connection with the placement of private securities, Njordhaven Securities typically receives certain fees, which may include a closing or success fee. The issuer pays these fees out of the offering proceeds, and the specific amount is disclosed in the respective offering document. Njordhaven Securities may also provide other services for fees related to the offering for the issuer, which would be disclosed in the offering documentation. Because we are paid more when more money is invested, we have an incentive to encourage you to invest, and to invest larger amounts.

You will pay fees and costs whether you make or lose money on your investments. Fees and costs will reduce any amount of money you make on your investments over time. Please make sure you understand what fees and costs you are paying.

What are your legal obligations to me when providing recommendations? How else does your firm make money and what conflicts of interest do you have?

When we provide you with a recommendation, we have to act in your best interest and not put our interest ahead of yours. At the same time, the way we make money creates some conflicts with your interests. You should understand and ask us about these conflicts because they can affect the recommendations we provide you. Here are some examples to help you understand what this means.

  • Issuer-Paid Compensation: We are paid by the issuer, not by you, usually as a percentage of the amount raised and only if the offering closes. This gives us an incentive to complete offerings, raise larger amounts, and favor terms acceptable to the issuer. In a PIPE, we act for the issuer, including in negotiating the price and any discount to the market price.
  • Confidential Information: When we act as placement agent in a PIPE, we learn about the offering before it is announced. Because the issuer is a public company, this is material nonpublic information (confidential information that could affect its stock price). Investors who receive it must keep it confidential and may not trade the issuer’s securities, including short sales, until the information is made public.
  • Allocations: When an offering receives more orders than it can fill, we and the issuer decide how to allocate it, and we generally give priority to larger or repeat investors.
  • Affiliated Companies: We do not have affiliated broker-dealers or investment advisers that provide investment recommendations or advice.
  • Third-Party Payments: We do not receive payments, credit or other reductions in our costs from third-party product managers, intermediaries or platform providers.
  • Proprietary Products: We are not financial product issuers or manufacturers that create or distribute proprietary products.
  • Revenue Sharing: We do not engage in revenue sharing with any manager or sponsor of any investment products.
  • Principal Trading: We do not engage in principal trading whereby we would buy/sell from a retail investor and then sell/buy from another retail investor from our own proprietary account.

You should refer to the respective offering’s offering documents for a discussion of any additional conflicts of interest as well as a disclosure of fees respective to the private investment offering. This documentation is available to all potential investors in the respective offering.

How do your financial professionals make money?

Depending upon their respective role, our financial professionals may be compensated through corporate benefits, salary, commission and/or through discretionary bonuses based upon certain factors such as the overall profitability of Njordhaven Securities. If they are compensated through commission or other transaction fees, that compensation is based upon several factors, including the fee paid by the respective issuer to Njordhaven Securities. Because these fees vary by offering, our financial professionals have an incentive to encourage you to invest, to invest larger amounts, and to favor offerings that pay us higher fees.

Our financial professionals do not receive (i) compensation based upon assets under management, (ii) compensation based upon time spent with an investor, (iii) non-cash compensation tied to an investor, or (iv) compensation based upon the complexity of the product.
