1. About this website
This website is operated by WWF Securities LLC (dba “Njordhaven Securities”) (“we,” “us”). WWF Securities LLC is a broker-dealer registered with the U.S. Securities and Exchange Commission and a member of FINRA and SIPC. By using this website you agree to these Terms of Use. If you do not agree, please do not use the website.
2. Information only. No offer and no advice
Content on this website is provided for general information about the firm and its services. It is not an offer to sell, or a solicitation of an offer to buy, any security or related financial instrument, and it is not investment, legal, tax, or accounting advice. Nothing on this website is tailored to the circumstances of any person. Any investment products or services described here may not be offered in any state or jurisdiction in which such an offer, solicitation, or sale would be unlawful.
3. Who we work with
Our services are directed to companies and to institutional and accredited investors. Private placements are offered only to institutional and accredited investors, and only through the offering documents for that transaction. We do not open accounts, accept orders, or receive funds through this website.
4. No client relationship
Visiting this website or contacting us through it does not create a client, advisory, or fiduciary relationship. An engagement begins only when you and Njordhaven Securities sign a written agreement.
5. Communications with the firm
As a registered broker-dealer, we are required to retain business communications and to make them available to regulators. Messages you send to the firm, including email, may be reviewed, retained, and produced as required by law.
Please do not send us confidential or material non-public information unless we have first agreed to receive it.
6. Accuracy of information
We work to keep this website accurate and current, but its content may change without notice and may contain errors or omissions. Past performance is not indicative of future results.
7. Links to other websites
This website links to websites operated by others, including FINRA BrokerCheck, FINRA, and SIPC. We do not control those websites and are not responsible for their content or practices.
8. Intellectual property
The Njordhaven name, mark, and the content of this website are owned by WWF Securities LLC or its licensors. You may view and print pages for your own reference. You may not otherwise copy, modify, distribute, or use them without our written permission.
9. Disclaimer and limitation of liability
This website is provided “as is” and “as available,” without warranties of any kind, express or implied. To the fullest extent permitted by law, Njordhaven Securities is not liable for any loss or damage arising from your use of, or reliance on, this website or its content. Nothing in these terms limits any right you have that cannot be limited under applicable securities laws.
10. Governing law
These Terms of Use are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles.
11. Notice to non-U.S. persons
This site is published in the United States for residents of the United States. The site is not intended for use by, or to provide information to, persons outside the United States and such persons should not rely on the information contained in the site. We reserve the right to require proof of residence from any user accessing and requesting information from the site. Investors outside the United States may be subject to securities or tax laws within their jurisdictions that are not addressed on this site.
Nothing contained in this site shall be construed as a solicitation to buy any security or an offer to sell any security, product or service to any non-US investor, nor shall any such security, product or service be offered or sold in any jurisdiction where such activity would be contrary to local laws or subject to registration within such jurisdictions. Some securities, products or services may not be available in all jurisdictions.
12. USA PATRIOT Act: foreign banking clients and customer identification program / diligence program
In response to the terrorist attacks on September 11, 2001, the US Congress passed the USA PATRIOT Act. Parts of this Act apply to the financial services industry and require certain financial institutions to request specific information from foreign banks on a “certification” form. Also, as part of the USA PATRIOT Act and to assist in the government’s fight against terrorist financing and money laundering, we are required to obtain and verify information about the identity of our clients. Because of this, when you open an account or establish a business relationship with us, we will ask for information that will allow us to confirm your identity or the identity of your corporation, partnership or other entity. This process may include a request to see your driver’s license, passport, corporate papers or other identifying documents. We know you share our commitment to this effort and appreciate your cooperation in helping us fulfill this important obligation.
13. Private placement risks and disclosures
We offer unregistered private securities under exemptions from securities registration, such as Regulation D. Such offerings contain unique risks, terms, conditions and fees specific to each offering. Depending upon the specific investment product, investment risks include, but are not limited to, interest rate risk, credit risk, call risk and liquidity risk. In addition to the general risks related to securities, private offerings are subject to the respective risks of their industry and market.
Generally, most securities that you acquire in a private placement will be restricted securities. You should not expect to be able to easily and quickly resell your restricted securities. In fact, you should expect to hold the securities indefinitely.
Please refer to the respective offering documentation for the risks respective to the private securities offering. You should not purchase a private unregistered security until you have read the specific offering documentation and fully understand the specific investment terms, features, fees and risks of such investment.
